Students are recommended to buy The Red Book by Brian A. Garner, however this is not a required text. This text is a useful handbook reference for drafting English-language legal documents.
All class materials will be provided, including handouts and sample contracts.

張瀚書法學博士 (H. Henry Chang Esq.) ，國際通商法律事務所執行長，曾任企業併購組主持律師，專擅跨國性爭訟案件。身兼歐洲商務協會 (ECCT) 理事、Baker & McKenzie全球委員會之亞洲區代表暨全球律師倫理委員會委員，為中華民國商務仲裁協會登錄仲裁人。張律師為美國康乃爾大學學士及杜蘭大學法律博士，曾就讀德國Universitaet Regensburg 大學，精通英語、國語及德語；曾協助多家高科技公司參與跨國性併購案，包括在美國及台灣公開上市；並主導大型跨國貿易訴訟案(商業秘密)，包括反托拉斯法及相關內部調查案件。欲與張律師連絡，請致電助理蔡曉佩 (02)2715-7256 或電郵至 amanda.tsai@bakermckenzie.com。
三、教學目標 Objectives
This course aims to equip students with a practical understanding of complex technology business transactions. Students will be introduced to the technicalities of Share Sale and Purchase transactions, Joint Ventures, Asset Sale and Purchase transactions, and documentation used in conducting high-tech technology transactions.
This course will also provide students with functional knowledge of select specialized topics arising from such legal documentation including but not limited to, compliance (competition law), Dispute Resolution (DR) alternatives, intellectual property rights (IPR) issues and others.
In addition, the course materials and exercises will give students insight into strategies for selecting appropriate type of transaction.
　
四、課程內容 Course Description
●整體敘述 Overall Description
This course outlines a simulated acquisition project involving hi-tech or biotechnology transactions. Students will be guided through issues of legal and commercial importance in a potential M&A transaction and introduced to topics such as jurisdiction, compliance, IPR licensing and others.
This course is intended for investment advisors, M&A lawyers, in-house legal counsel and others interested in the structuring and documentation of business transactions.
The course will be taught from an international perspective. Classes will be conducted in English and Chinese. Documentation will reflect international standards.
The course will be taught by lawyers from international law firms with experience in high-tech transaction matters.
本課程將由國際知名法律事務所中極具高科技產業交易經驗之律師親自授課，以英文及中文輔助方式上課。課程中將專門介紹股份買賣、合資企業、不動產買賣等相關課題，帶領學生實際進入複雜的高科技產業交易，並藉由交易中常用之法律文件讓學生了解相關法令解釋、合約文稿撰擬及相關法律問題，進而培養學生在高科技產業交易中策略規劃的洞悉能力。
此課程專為投資顧問、企業併購律師、企業內部法律顧問及有與趣了解企業交易架構及法律的學生而設計。

出席 30%Class Attendance, Participation and Contribution Individual class attendance, preparation and participation in class discussions will account for 15% of the total class grade.
平時作業 10%FRCP exercise
Students will be graded on their mid-term report after watching the self-learning video files.
學期考 60%Final Examination
A comprehensive final examination will be administered on the last day of class. This examination will account for 50% of the total class grade.
